Company Secretarial

This role provides practical company secretarial, governance and administrative support to the Group General Counsel. This is a hands-on role, office-based position combining corporate compliance and board support with the clerical work needed to keep the Group Legal.
Our Company Secretarial will also help maintain accurate corporate records, support timely statutory filings, organise board and shareholder processes, coordinate document execution and provide dependable day-to-day office administration. The role requires care, discretion and a willingness to undertake both technical company secretarial work and routine clerical tasks.
Key Responsibilities
- Maintain an accurate legal entity database and annual compliance calendar for the companies within scope, including filing, meeting, approval and renewal deadlines.
- Prepare and submit routine Companies House filings, subject to appropriate review and approval. These may include confirmation statements, appointments and resignations, changes to officer or PSC details, registered office and registered email changes, share capital filings, charges, changes of name and amendments to articles.
- Coordinate the delivery of annual accounts and related filing information with Finance, Tax, auditors and external advisers, without assuming responsibility for the content or approval of the accounts.
- Maintain the annual schedule of board, committee and shareholder meetings and coordinate dates with directors, executives and other attendees.
- Prepare standard documentation and checklists for share allotments and transfers, share certificates, capital reorganisations, dividends and other routine corporate actions, subject to legal and financial approval.
- Coordinate routine compliance information with overseas subsidiaries, local counsel, registered agents and company secretarial service providers when requested.
- Maintain a complete execution record for deeds, agreements, powers of attorney, guarantees, board approvals and other material documents, including the final signed version and evidence of authority.
- Maintain matter lists, deadline calendars, claims or contract trackers and other administrative records as requested by the Group General Counsel and Company Secretary.
- Process legal and company secretarial invoices, purchase orders and cost codes; maintain fee and accrual trackers; and retain evidence of budget and delegation-of-authority approvals.
Desirable Experience and Qualifications
- A relevant qualification or current study with The Chartered Governance Institute UK & Ireland, or a legal, business, governance or administration qualification.
- Experience supporting a large corporate group with numerous UK entities and overseas subsidiaries.
- Experience using entity-management software, board portals, document-management systems and electronic signature platforms.
- Experience with share transactions, corporate reorganisations, powers of attorney, company seals, notarisation, legalisation or apostilles.
- Experience supporting due diligence, audits, banking or know-your-customer information requests.
- Experience processing professional fees, purchase orders, budgets or accruals.
- Experience in the hotel, property or wider hospitality sector.
