insert team / business area> to provide high quality company and professional company secretarial service to the Boards, Board Committees of the Phoenix Group.

Key Responsibilities

  • Provide high quality, professional company secretarial service to Boards and Board Committees allocated at the standards expected of a FTSE 100 Company Secretarial function.
  • Provide advice and support to the Chairman and/or other Board/Committee members.
  • Support the preparation and administration of shareholder meetings, accounts and reports of the listed companies as required.
  • Support the Company Secretary in the placing of Group insurance and day to day administration and management of the insurance programme as required.
  • Support Company Secretary and Deputy Company Secretary with other duties including shareschemes; annual report and AGM as required.
  • Manage risk as appropriate to role in accordance with the various risk policies.
  • Contribute to the General Counsel Continuous Improvement agenda.
  • Prepare agendas, draft board papers, prepare board packs, organise board and/or board committee/management meetings, prepare documents for board or shareholder approval, draft board minutes and/or board committee/management meetings.
  • Working on highly sensitive and confidential matters and environment.
  • Working with senior executive and non-executive directors.
  • Managing multiple Boards and committees.
  • Keeping up to date with legislation and regulations.
  • Keeping up to date with Group strategy.
  • Reports to Deputy Company Secretary.
  • Deputise for Deputy Company Secretary as requested.
  • No direct reports.
  • No budget responsibility.
  • Working on highly sensitive and confidential matters and environment.
  • Work with senior internal and external stakeholders.
  • Qualified solicitor or Company Secretary.
